Terms of Service

1. Acceptance of Terms

By accessing or using Activ Finance ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms constitute a legally binding agreement between you and Activ Finance.

2. Service Description

Activ Finance provides a user interface (frontend) that allows users to interact with decentralized protocols. The underlying infrastructure is powered by AggLayer (Polygon Labs) and Morpho Protocol. Activ Finance is responsible only for the frontend interface and the ACTIV token distribution mechanism.

• Deposit supported assets (ETH, USDC, USDT, USDS) via AggLayer Vault Bridge
• Earn yield through Morpho protocol vaults
• Receive ACTIV tokens representing your yield share
• Withdraw your assets at any time without lock-ups

3. Non-Custodial Service

Activ Finance is a non-custodial frontend interface. We never have access to, custody of, or control over your funds or private keys. When you interact with our interface:

• Your assets are deposited directly into smart contracts operated by third-party protocols (AggLayer Vault Bridge, Morpho)
• Activ Finance cannot access, move, freeze, or recover your funds
• All transactions are executed directly between you and the blockchain
• You maintain sole control of your wallet and private keys at all times

4. Eligibility

To use Activ Finance, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Not be a resident of a jurisdiction where cryptocurrency services are prohibited
• Not be subject to economic sanctions or on any restricted persons list
• Have the legal capacity to enter into this agreement

5. Account Responsibilities

You are responsible for:

• Maintaining the security of your account credentials and wallet private keys
• All activities that occur under your account
• Ensuring your contact information is accurate and up-to-date
• Notifying us immediately of any unauthorized access or security breach

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or to violate any laws
• Attempt to circumvent any security features of the Service
• Use the Service to launder money or finance terrorism
• Interfere with or disrupt the integrity of the Service
• Use automated means to access the Service without permission

7. Intellectual Property

The Activ Finance name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Activ Finance or its affiliates. You may not use such marks without prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YIELDS AND RETURNS ARE VARIABLE AND NOT GUARANTEED. PAST PERFORMANCE DOES NOT GUARANTEE FUTURE RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTIV FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. THIS INCLUDES ANY LOSSES ARISING FROM SMART CONTRACT VULNERABILITIES, BRIDGE FAILURES, STABLECOIN DEPEGGING, OR THIRD-PARTY PROTOCOL ISSUES.

10. Indemnification

You agree to indemnify and hold harmless Activ Finance, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may withdraw any remaining assets subject to applicable withdrawal procedures and network conditions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or by other means. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Third-Party Protocols

Activ Finance integrates with third-party protocols and infrastructure. Your use of these protocols is subject to their respective terms:

• AggLayer Terms of Use - Vault Bridge and cross-chain infrastructure
• AggLayer Privacy Policy
• Morpho Protocol - Yield generation vaults

We are not responsible for the operation, security, or availability of these third-party protocols. Any issues related to the underlying infrastructure should be directed to the respective protocol teams.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration.
